IN NO EVENT SHALL CHOPT'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO CHOPT IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
THE LIMITATIONS OF LIABILITY SET FORTH HEREIN SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CHOPT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to defend, indemnify, and hold harmless Chopt and its owners, officers, directors, employees, agents, licensors, affiliates, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service
- Your use or misuse of the Site or any services provided therein
- Your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights

- Your violation of any applicable federal, state, or local laws or regulations

12. Governing Law and Jurisdiction

To the extent applicable, consumer protection matters may also be governed by the Federal Trade Commission Act (FTC Act) and other applicable federal consumer protection statutes.
For customers located in California, your use of our services may also be governed by the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) with respect to your personal data rights, as well as the California Consumers Legal Remedies Act (CLRA) and the California Unfair Competition Law (UCL).
Subject to the dispute resolution provisions below, you agree to submit to the personal jurisdiction of the courts located within the applicable United States jurisdiction where Chopt is headquartered for the purpose of litigating any disputes that are not subject to mandatory arbitration. You waive any objection to the laying of venue of any such proceedings in such courts and waive any claim that any proceeding brought in such courts has been brought in an inconvenient forum.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy with Chopt informally by contacting us at [email protected]. We will attempt to resolve your concern within thirty (30) days of receiving your written notice describing the nature of the dispute and the relief sought.
13.2 Binding Arbitration
If informal resolution efforts fail, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site and services, including questions of arbitrability, shall be resolved by binding individual arbitration administered by a nationally recognized arbitration organization under its then-current rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
You and Chopt agree that any arbitration shall be conducted on an individual basis and NOT as a class, consolidated, or representative action. By agreeing to these Terms, you are waiving your right to participate in a class action lawsuit or class-wide arbitration.
13.3 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
13.4 Time Limitation on Claims
TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR IT WILL BE FOREVER BARRED.
